Non-disclosure Agreement

A non-disclosure agreement between two parties can be either unilateral or bilateral. A unilateral confidentiality agreement is a contract in which one party undertakes to another not to disclose information shared with it in the course of a business relationship. It is useful when only one party will disclose confidential information.  

The bilateral confidentiality agreement, on the other hand, is a contract by which each party undertakes to the other not to divulge the respective information shared with it in the course of a business relationship. It is useful when both parties will disclose confidential information to each other.
