Candiac: a town of entrepreneurs and professionals
Candiac combines an affluent residential profile, an active industrial and commercial park and direct proximity to Montréal. It hosts professional services, distribution, technology, construction and many executives who also invest in other people's projects.
That highlights a frequent and poorly documented situation: receiving money from a relative, a former colleague or a local investor to start or grow.
Loan or investment: two very different things
A loan must be repaid, with or without interest, on an agreed schedule. The lender does not become an owner and has no say in management. It is simpler, but it creates debt that weighs on cash flow from the first months.
An equity investment means the person receives shares. They become a co-owner, share in the value created, and depending on the share class, may have voting rights. There is nothing to repay, but you now share your business.
The worst scenario is the most common: money handed over without documents, with a vague verbal understanding that the person "will get a share." Two years later, nobody agrees on what was decided.
- Share capital allowing clearly defined shares to be issued
- A clean, documented distinction between loan and investment
- A shareholders agreement setting exit rules
- A reduced tax rate on the first $500,000 of eligible active business income

What to write down before taking the money
Three elements must be clear in writing: the exact nature of the contribution, loan or equity; what the person receives in exchange, amount and term or number and class of shares; and how they can exit, at what price and by what valuation method. A shareholders agreement is the document covering these questions.
Provincial or federal for a Candiac business?
For a business serving the Quebec market, the provincial regime fits. If you target venture capital outside Quebec, some investors prefer a federal structure, a question worth considering early.
Common questions from Candiac entrepreneurs
My brother-in-law is lending me $50,000 interest-free. Do we need a document? Yes, absolutely. A simple note stating the amount, the terms and the absence of any ownership stake prevents many family misunderstandings.
Can I issue non-voting shares? Yes, and it is very common: the investor shares in the value without participating in day-to-day decisions.
