Maintaining an office, a warehouse, a resident agent or holding an interest in real property does trigger extra-provincial registration.
Fines for default can reach $2,000 for an individual and $25,000 for a corporation. Since February 2025, a Company Key is also required for several online filings in Ontario.

If your physical presence stays in Quebec, the provincial regime is enough, even with Ontario clients. Federal becomes interesting if you plan to open a service point in Ontario or protect your name in both provinces.
