Lévis: major buyers, and many SMEs around them
Lévis has an unusual economic structure for a city its size. The head office of Mouvement Desjardins and the Davie shipyard concentrate thousands of jobs, and around those two poles sits a broad network of suppliers: machining, welding, engineering, IT, transport, professional services and business services.
For a Lévis entrepreneur that means one thing: your most attractive potential clients are large organizations with formal procurement processes. And those processes almost always start with the same question, which is your legal form.
What incorporating changes with a large buyer
A large organization awarding you a mandate wants to contract with an entity, not a person. It generally requires liability insurance in the business name, a Quebec enterprise number, separate financial statements and sometimes formal supplier qualification. A sole proprietorship often stalls before your offer is even evaluated.
There is also risk. Industrial and professional contracts include liability clauses and sometimes penalties. Without a corporation, your personal assets stand behind them.
- A separate legal person carrying contractual liability
- A reduced tax rate on the first $500,000 of eligible active business income
- The ability to borrow and finance equipment in the company's name
- Access to large buyers' qualification processes

Provincial or federal for a Lévis business?
If your clients are in Quebec, the provincial regime is enough and cheaper to maintain. Federal incorporation becomes useful if you supply clients in several provinces, target federal contracts, or want Canada-wide name protection. A federal corporation must still register with Quebec's Registraire des entreprises.
Corporation or cooperative?
Lévis being the birthplace of Quebec's cooperative movement, the question comes up often. A cooperative belongs to its members and redistributes surplus based on their participation, not on share capital. It is an excellent structure for a collective project, but a poor fit for a conventional business whose founders want to keep control, welcome an investor or sell later. For the vast majority of commercial businesses, the corporation is the right vehicle.
Preparing what comes next
If you are starting with a partner, or plan to hand the business over one day, a shareholders agreement is the document that prevents unpleasant surprises: who decides, how a shareholder exits, how shares are valued, what happens on death or disagreement.
Common questions from Lévis entrepreneurs
My client requires that I be incorporated before signing. How long does it take? The questionnaire takes about 15 minutes and the file moves quickly after legal review.
Can I incorporate if I work alone? Yes. A Quebec corporation can have a single shareholder and a single director.
