Opening a restaurant in Quebec is about much more than finding a location and designing a menu. Before welcoming your first customer, you'll need to navigate a set of legal, regulatory, and tax obligations that apply specifically to food service establishments, on top of the usual steps involved in starting a business.

Starting by structuring your business

Before looking into permits specific to the restaurant industry, the first question to settle is the legal structure under which you'll operate. Most restaurant owners choose between a sole proprietorship and a corporation. The latter offers significant advantages: protection of your personal assets, greater credibility with suppliers and financial institutions, and tax benefits when the business's net income is positive.

Mandatory hygiene and sanitation training

As soon as food is prepared or handled in your establishment, the law requires you to designate a person responsible for food hygiene and sanitation, who must have completed the Food Establishment Manager training. Beyond this designated person, you have two options for the rest of your staff: either have someone trained as a Food Handler present at all times during food preparation, or ensure that at least 10% of staff assigned to preparation and cleaning hold a recognized training certificate.

To legally operate a restaurant in Quebec, you must obtain a restaurant permit from the Ministère de l'Agriculture, des Pêcheries et de l'Alimentation du Québec (MAPAQ). The permit category depends on the activities carried out at your establishment. General preparation, meaning a restaurant that prepares food consumed on-site, costs $367 per year. If you add a self-service buffet, the rate rises to $566. Establishments that simply keep food hot or cold without preparing it are charged $283, or $566 if served buffet-style.

To obtain this permit, your premises must meet specific sanitary layout requirements: a preparation area equipped with a sink, running potable water, a soap and disposable towel dispenser, a wastewater drainage system, adequate ventilation, and waste receptacles. The training requirements mentioned above must also be met at the time of application.

Beyond the MAPAQ permit, several other authorizations may be required depending on the nature of your project. Municipalities have jurisdiction over the use of their territory and regulate things like installing an outdoor sign, setting up a terrace, or playing music outdoors. If you plan to sell alcoholic beverages, a separate permit must be obtained from the Régie des alcools, des courses et des jeux (RACJ). Finally, the Charter of the French Language requires that menus and wine lists be written in French.

Tax obligations specific to the restaurant industry

Two tax particularities apply specifically to restaurant owners in Quebec and are worth understanding from the outset.

The first concerns tip reporting. Your employees are required to declare all their tips to you in writing at the end of each pay period, using the TP-1019.4 register or an equivalent document. As an employer, you must in turn complete the Employer's Declaration of Tips and Sales (TP-1086.R.1) each year.

The second concerns invoicing. Restaurant operators are required to issue an invoice produced using a sales recording module (SRM) to each customer. This invoice must include the establishment's name and address, GST and QST numbers, and the items sold. The only exception: if your taxable supply revenue does not exceed $30,000 per quarter, you're considered a small supplier and can issue invoices without an SRM, using a sales register or even handwritten receipts.

Once your restaurant is open, you'll quickly need to enter into agreements with suppliers, service providers, or employees. Having the right documents in place from the start protects you in case of a dispute and clarifies each party's expectations.
