Brossard: a business crossroads with international founders

The rule that tips the balance toward Quebec
This is a major difference between the two regimes, and it is often decisive. Quebec law imposes no residency requirement on the directors of a corporation. A board can be composed entirely of people who do not live in Canada.
Federal law is considerably stricter: at least 25% of directors must be resident Canadians and, if the corporation has fewer than four directors, at least one of them must be. In other words, a newly arrived entrepreneur, or a group of founders based abroad, can incorporate in Quebec without recruiting a Canadian director, which would be impossible federally.
One caveat: a Quebec corporation's head office must be located in Quebec, and registration with the Registraire des entreprises remains mandatory.

Provincial or federal for a Brossard business?
For most south shore businesses, and particularly when founders are not Canadian residents, the Quebec provincial regime is the more flexible option. Federal incorporation still has value if you want Canada-wide name protection or plan to establish in another province, but it carries the director residency constraint.
