Lexstart constitutes companies with a standard share capital of 2 categories (A and B), with an issuance of ordinary shares (A) for the founders in order to give them the same rights to vote, a right to receive dividends and a right to the the assets of the company (the remainder). This share capital also offers the possibility of issuing Class B shares (without voting rights).
In order to benefit from greater flexibility regarding the declaration of dividends, the possibility of issuing stock options or bringing in investors, it is possible to opt for a Multiple Class Share Capital.

This agreement is suited for startups that want to establish clear shareholder guidelines from the beginning, defining rights and duties equitably, as well as restrictions such as non-competition and the management of intellectual property, to ensure calm and consistent management.
